All entities conducting business in the State of Georgia must register to do business in the State. The law also requires the company to designate and maintain a registered agent. Meriwether & Tharp LLP has acted as registered agents for numerous business entities in the best, and is fully capable of acting as a registered agent for your business and helping ensure that you understand the importance maintaining your corporate formalities.

If you fail to register and designate a registered agent for your company, you may subject your company to civil sanctions. Even worse, persons or businesses suing your company may be able to get a default judgment against your business without you even knowing about it. Additionally, many corporations in Georgia are currently not in compliance with the Secretary of State requirements for maintaining a corporation, which may lead to these corporations being administratively dissolved due to a failure to maintain corporate formalities.

As a Registered Agent, Meriwether & Tharp LLP acts as the company's representative for accepting Service of Process of various legal documents served on your company. A registered agent is the person on record with the State of Georgia that is authorized to accept legal notices on behalf of the corporation. For example, if a lawsuit is filed, it is usually served upon the registered agent. The registered agent then has a duty to inform the company about the lawsuit. Maintaining your corporate formalities includes filing annual returns, annual minutes, and having an annual meeting for your company. Following all corporate formalities is critical to maintaining the personal liability protection your business organization provides and helps to avoid leaving you personally liable for any debts and other liabilities of your company.

The Standard Package is designed to meet your company's most basic needs. It includes:

  • Serving as your company's registered agent for service for the year to ensure that your company gets prompt notice of any important notices and lawsuits
  • Ensuring that your annual return is promptly filed for the year
  • Paying your annual fees to the State of Georgia for the year
  • A five percent (5%) discount on all legal services for your company for the year

The Deluxe Package includes everything in the Standard Package plus:

  • Up to a two (2) hour annual meeting with your company in the year
  • Preparing your company's annual minutes for the year
  • Providing an annual company audit and compliance questionnaire used to identify compliance issues and keeping the corporate records accurate and current
  • Making available conference room facilities for corporate meetings
  • A ten percent (10%) discount on all legal services for your company for the year
